BOI report

Also known as Beneficial Ownership Information report

A BOI report is a filing to FinCEN identifying a company's beneficial owners under the Corporate Transparency Act. The scope of which companies must report changed materially during 2025, so current obligations should be confirmed against FinCEN's own guidance rather than secondary sources.

In plain terms: A filing naming the real owners of a company. Who must file has changed recently.

Why it matters

This is the one obligation in the glossary where published guidance ages badly and much of what is online is now wrong. Whatever your position, verify it directly with FinCEN for your entity type and jurisdiction before acting or deciding not to.
