Two things you will read everywhere that the figures do not support

Nevada is the privacy state

Nevada costs $425 to open and $350 a year — more than four times Wyoming's $60 — and it still names your managers in the public record. Wyoming names nobody, for $100 to file. You are paying a premium for the marketing, not for the privacy.

Delaware is the tax-efficient choice

A Delaware LLC with no Delaware presence pays $300 a year in annual llc tax and gets no tax benefit for it — Delaware taxes personal income at up to 6.6%. What Delaware is genuinely for is a C-Corporation: its case law and its Court of Chancery are what US investors expect to see on a term sheet. If you are not raising, you are paying for a brand.
