Series LLC

A Series LLC is a structure available in some US states that allows a single parent LLC to create separate internal series, each able to hold its own assets and, in principle, keep its liabilities separate from other series. Not all states recognise the separation.

In plain terms: One LLC that contains several walled-off compartments.

Why it matters

Attractive to founders holding several distinct asset groups — property portfolios most commonly. The caution is that the liability separation between series has been tested far less than the separation between ordinary LLCs, and states that do not authorise Series LLCs may not respect the internal walls.

Common misunderstanding

Assuming the separation holds everywhere. It depends on the state where a claim is brought, not the state of formation.
