Your registered agent resigned: immediate steps
An agent resignation starts a clock. It is usually short, and the consequence at the end of it is administrative dissolution.
The short answer
When a registered agent resigns, the state gives a limited window to appoint a replacement before treating the company as having no agent, which begins the path to administrative dissolution. Agents typically resign for non-payment or because the company has become uncontactable, so both causes need addressing.
Why this matters more than it looks
The registered agent is the state's only official channel to your company, and the address where legal proceedings are served. A company with no agent can be sued without ever learning about it, and the state responds by starting dissolution.
The sequence
- Appoint a replacement and file the change of agent with the state.
- Find out why they resigned. If it was unpaid fees, other renewals may also be lapsing.

- Update the address on file if the company's contact details have moved on.

- How long do I have?
- It varies by state and is generally measured in weeks rather than months. Treat it as urgent: the state's ability to serve legal documents on your company is what is at stake, and states do not extend the window for inattention.
- Can I be my own registered agent?
- Only if you have a physical street address in the state of formation and are available during business hours. A PO box does not qualify. For founders outside the US this is not an option, which is why it is a paid service.
- Why did they resign?
- Usually non-payment of the renewal, or because mail they forwarded went unanswered and the company appears abandoned. Occasionally the provider has exited the state. Ask — the reason determines whether appointing a new agent alone actually fixes it.
