Single-member LLC

A single-member LLC is a Limited Liability Company with one owner. The IRS treats it as a disregarded entity by default, so its profit is reported by the owner rather than taxed at company level. It provides the same liability protection as a multi-member LLC.

In plain terms: An LLC with one owner. Simplest possible company structure with liability protection.

Why it matters

The structure most solo founders use. The one thing to know: if the single member is a foreign person, the company must file Form 5472 annually regardless of activity — an obligation that does not apply to a US-owned single-member LLC in the same way.
